Role Purpose and Summary

The Legal Counsel is responsible for providing legal advice to the business to assist in commercial decision-making and to protect the company’s interests. The role will ensure the wider business is supported on sourcing, negotiating, and managing contracts for vendors providing technology, actuarial, underwriting, claims, and other insurance-related services. The Legal Counsel will work closely with and support the General Counsel, and will also work closely with internal teams to assess legal risks, draft and review contracts, and provide legal and regulatory advice as required.

Job Description

Key Accountabilities

  • Strategic Sourcing/Procurement:
    • Developing and enhance processes and procedures to improve efficiencies around the legal aspects of sourcing and management of external providers.
    • Lead legal reviews for procurement agreements, ensuring alignment with business goals and compliance standards.
    • Implement procurement frameworks that improve efficiency, clarity for business units and risk management whilst driving cost savings.
  • Contracts and Transaction Management
    • Drafting, reviewing and (where appropriate) assisting in negotiating the terms of commercial agreements, including vendor contracts for operations, IT, marketing and claims.
    • Ensure contracts comply with Chapter 7 requirements and organisational goals.
    • Support business transactions by providing legal insights and risk assessments.
  • Legal Advice
    • Provide specialist legal advice across all areas of the business and coordinating external legal advice as required, with a particular focus on:
      • Life insurance (including reinsurance, dispute resolution, underwriting and claims)
      • Privacy (including spam),
      • Financial services and markets (including Corporations Act, Chapter 7)
      • Employment issues.
  • Regulatory Change
    • Stay informed about legislative changes affecting the life insurance sector.
    • Research and interpret new or proposed legislation affecting the business ensure that relevant business units are informed and training is provided as required.
  • Legal Risk Management
    • Assisting in identifying and mitigating legal risks associated with business operations and providing legal support as required to assist the risk team in developing risk management strategies to safeguard the NobleOak’s interests.
  • Legal Systems
    • Developing processes and procedures for the efficient provision of legal services including developing systems to support the retention of legal knowledge in the business.
  • Policy Development
    • Assist in providing advice on internal policies and procedures to ensure legal compliance and guidance on legal implications of company policies.
    • Regularly review and update policies to reflect regulatory changes and business priorities.

  • Project Management – Supporting the NobleOak team through adhoc project management as required, including providing progress updates to the General Counsel and other senior management as required.
  • High Quality and Accurate Communication Deliver clear, concise, and actionable advice and updates to stakeholders at all levels.
  • Process Improvement – Contributing to driving process improvement and automation in the Legal function and more broadly across the business (in relation to legal and contractual management).

Capabilities

  • Strong legal knowledge and skills.
  • Strong working knowledge of procurement concepts, processes, activities and trends
  • Deep knowledge of Chapter 7 Corporations Act requirements and their application in the life insurance context.

Experience & Qualifications

  • Admitted as a solicitor in one or more States in Australia (or equivalent qualifications from overseas and taking steps to be admitted in Australia).
  • 7+ years legal experience (experience in life insurance, general insurance, financial services and marketing will be highly regarded).
